Standard Wholesale Agreement

Version 1.0 · October 2026. Plain terms, the same for every buyer.

This agreement is between AIDUOTEK (the "Seller") and the buyer named below (the "Buyer"). It covers every wholesale order the Buyer places while it is in effect.

1. Products and prices

  1. Products are the AIDUOTEK jigsaw puzzles listed at aiduotek.com and on Amazon.com.
  2. Prices are the published tiers on the Seller's wholesale page on the date of the order:
    • 500 pieces, 12+ boxes of one design: US$14.99 per box
    • 500 pieces, 48+ boxes of one design: US$13.99 per box
    • 500 pieces, 144+ boxes of one design: US$12.99 per box
    • 1000 pieces, 12+ boxes of one design: US$18.99 per box
    • 1000 pieces, 48+ boxes of one design: US$17.99 per box
    • 1000 pieces, 144+ boxes of one design: US$16.99 per box
  3. Tiers apply per design. Prices exclude shipping and sales tax, which are shown at checkout.
  4. The Seller may change the price list with 30 days' notice on the wholesale page. Orders already placed keep their price.

2. Ordering and payment

  1. The Buyer orders and pays through Amazon Business, or by another method stated in a written quote from the Seller.
  2. Minimum order: 12 boxes per design.
  3. An order is confirmed when Amazon accepts it, or when the Buyer accepts a written quote.

3. Lead time and delivery

  1. Up to 200 boxes ship within 3 business days; up to 1,000 boxes within 7 business days; larger orders on the schedule in the written quote.
  2. Designs not marked Wholesale Ready: up to 10 per order, plus 1 business day.
  3. Risk passes to the Buyer on delivery to the address in the order.

4. Samples

Samples are bought at the regular retail price. The Seller does not provide free samples.

5. Defects and missing pieces

  1. The Buyer reports damaged boxes, print defects or wrong items within 14 days of delivery, with photos and the order number.
  2. The Seller replaces the affected boxes at no cost, or refunds them. Defective goods do not need to be returned unless the Seller asks.
  3. A retail customer of the Buyer who finds a missing piece can contact the Seller directly at [email protected] for a free replacement.

6. Returns

Wholesale orders are not returnable for change of mind. Returns for defects follow section 5 and Amazon's policies where the order was placed on Amazon.

7. Artwork and brand

  1. All artwork remains the Seller's property. The Buyer may resell the boxes as delivered and use the Seller's product photos to advertise them.
  2. The Buyer may not copy, reprint or alter the artwork, or sell it under another brand, without written permission.
  3. Custom artwork supplied by the Buyer remains the Buyer's; the Buyer confirms it has the right to have it printed.

8. No exclusivity

This agreement is non-exclusive unless a written quote says otherwise.

9. Liability

Each party's liability under an order is limited to the amount paid for that order. Puzzles are for ages 14 and up.

10. Term

This agreement starts on the date signed and continues until either party ends it with 30 days' written notice. Orders already confirmed are completed.

11. Governing law

The laws of the State of California, United States.
